These Terms of Service ("Terms") govern your access to and use of the Widly platform, website, and services (collectively, the "Service") provided by Widly Inc. ("Widly", "we", "our", or "us"). By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using the Service, you confirm that you are at least 16 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Description of Service
Widly provides a real-time customer messaging platform that enables businesses to communicate with their customers across multiple channels, including website live chat, Facebook Messenger, Instagram, and other integrations. The Service includes features such as multi-workspace management, team collaboration, smart inbox, and customizable chat widgets.
3. Account Registration
- You must provide accurate, complete, and current information during registration.
- You are responsible for maintaining the confidentiality of your account credentials.
- You are responsible for all activities that occur under your account.
- You must notify us immediately of any unauthorized use of your account.
4. Subscription Plans and Billing
4.1 Plans
We offer Free, Pro, and Enterprise plans. Features and limitations for each plan are described on our Pricing page. We reserve the right to modify plan features and pricing with reasonable notice.
4.2 Billing
- Pro plans are billed monthly or annually in advance. All fees are non-refundable except as expressly stated in these Terms.
- Enterprise plans are subject to a separate agreement.
- You authorize us to charge your designated payment method for all applicable fees.
- If payment fails, we may suspend or terminate your access to paid features after providing notice and a reasonable opportunity to update your payment method.
4.3 Free Trial
We may offer a free trial of the Pro plan. At the end of the trial period, your account will revert to the Free plan unless you subscribe to a paid plan.
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws, regulations, or third-party rights.
- Send unsolicited messages (spam), harassing, abusive, or threatening content.
- Distribute malware, viruses, or any other harmful software.
- Attempt to gain unauthorized access to the Service or its related systems.
- Interfere with or disrupt the integrity or performance of the Service.
- Use the Service for any illegal, fraudulent, or deceptive purpose.
- Scrape, crawl, or use automated means to access the Service without our prior written consent.
- Reverse engineer, decompile, or disassemble any aspect of the Service.
6. Intellectual Property
6.1 Our Rights
The Service, including its design, code, features, documentation, and branding, is owned by Widly and protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or brand features without prior written consent.
6.2 Your Content
You retain ownership of the content you submit through the Service. By using the Service, you grant us a limited, non-exclusive license to host, store, and transmit your content solely as necessary to provide and improve the Service.
7. Data and Privacy
Our collection and use of personal information is described in our Privacy Policy. By using the Service, you acknowledge that you have read and understood our Privacy Policy.
8. Third-Party Integrations
The Service may integrate with third-party platforms (e.g., Facebook, Instagram). Your use of such integrations is also subject to the respective third-party terms and policies. We are not responsible for the practices of third-party platforms.
9. Service Availability and Modifications
- We strive to maintain 99.9% uptime but do not guarantee uninterrupted access to the Service.
- We may modify, suspend, or discontinue any part of the Service at any time with reasonable notice.
- Scheduled maintenance windows will be communicated in advance whenever possible.
10. Termination
- You may terminate your account at any time by contacting us or using the account settings.
- We may suspend or terminate your access if you violate these Terms or engage in conduct that we reasonably believe is harmful to the Service, other users, or third parties.
- Upon termination, your right to use the Service ceases immediately. We will make your data available for export for 30 days following termination.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WIDLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
13. Indemnification
You agree to indemnify and hold harmless Widly, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorney's fees) arising out of your use of the Service or violation of these Terms.
14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in San Francisco, California, except that either party may seek injunctive relief in a court of competent jurisdiction.
15. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect by posting a notice on the Service or sending you an email. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
16. General Provisions
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
- Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
- Entire Agreement: These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Widly regarding the Service.
- Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
