These Terms of Service ("Terms") govern your access to and use of the Widly platform, website, and services (collectively, the "Service") provided by Widly Inc. ("Widly", "we", "our", or "us"). By accessing or using the Service, you agree to be bound by these Terms.

By creating an account or using the Service, you confirm that you are at least 16 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Widly provides a real-time customer messaging platform that enables businesses to communicate with their customers across multiple channels, including website live chat, Facebook Messenger, Instagram, and other integrations. The Service includes features such as multi-workspace management, team collaboration, smart inbox, and customizable chat widgets.

OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to indemnify and hold harmless Widly, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorney's fees) arising out of your use of the Service or violation of these Terms.

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in San Francisco, California, except that either party may seek injunctive relief in a court of competent jurisdiction.

We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect by posting a notice on the Service or sending you an email. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
